Terms of Use

Effective as of 2026-01-01 Momentli is provided by Momentli AB, reg. no. 559567-7849 (“Momentli”, “we”, “us”). These Terms of Service (“Terms”) govern all use of Momentli’s digital service, including but not limited to the website, applications, future technical solutions, accounts, collections, content, collaborations, orders, production, delivery, metadata handling, and system development (the “Service”). 1. Scope and binding effect of the agreement By creating an account, using the Service, or placing an order, the user accepts these Terms in their entirety. If the Terms are not accepted, use of the Service must cease immediately. 2. Account, identity, and responsibility To create an account, enter into an agreement, and use the Service, the user must be at least 18 years old. If the user is under 18 years of age, the Service may only be used with the consent of a legal guardian. In such cases, the legal guardian is responsible for the user’s actions, orders, payments, and obligations under these Terms. Accounts are personal. The user is responsible for all activity conducted through the account, whether performed by the user or by a third party. Momentli is not responsible for unauthorized access resulting from negligence, sharing of login credentials, or security deficiencies on the user’s side. 3. User-generated content – warranties and indemnification The user warrants that all necessary rights, permissions, and consents have been obtained for all content uploaded to the Service, including images, texts, and metadata. The user shall indemnify and hold Momentli harmless from any claims, damages, penalties, and costs arising from the user’s content or use of the Service. 4. License granted to Momentli By uploading content, the user grants Momentli a worldwide, irrevocable, royalty-free, transferable, and sublicensable license to use, process, analyze, modify, reproduce, and store the content for the purpose of: providing, operating, and improving the Service enabling production and delivery of physical products analyzing, developing, and securing the Service providing AI-based features marketing Momentli’s services The license does not automatically terminate upon account termination to the extent that continued storage is required by law, contractual obligations, or technical operation. 5. Automated processing, analysis, and metadata Momentli automatically analyzes metadata and technical information associated with uploaded content, including date, time, location, file information, and other structural data, in order to enable sorting, presentation, automated text generation, labels, timelines, recommendations, and development of the Service. The user is responsible for reviewing and, if necessary, correcting metadata. 6. Map services and third-party data (Mapbox) Momentli uses third-party services for maps and location visualization, including Mapbox and OpenStreetMap, to enable map-based features such as displaying locations associated with images and metadata. Map data is provided by Mapbox and OpenStreetMap and is used in accordance with their respective terms. Momentli does not guarantee the accuracy, completeness, or timeliness of map data, location information, or geographic data provided by these third-party services. By using map features within the Service, the user acknowledges that map data may be subject to separate license terms from Mapbox and OpenStreetMap and may contain errors, simplifications, or inaccuracies. Collaboration, sharing, and allocation of responsibility The user who creates a collection is ultimately responsible for the collection’s content, sharing, and participants. Momentli is not responsible for disputes, misuse, or damages arising from collaboration or sharing between users. 8. Subscriptions, term, and termination Subscriptions to Momentli are ongoing and without a fixed term. The user may terminate the subscription at any time via their account. Termination takes effect at the end of the current billing period. Payments already made are non-refundable. Upon termination, the user retains access to the Service and its features until the end of the subscription period. Momentli reserves the right to terminate subscriptions in the event of a material breach of these Terms. 9. Prices, fees, and price changes Current prices and fees are displayed in the Service at all times. Momentli reserves the right to adjust prices, fees, and subscription terms. For subscriptions, price changes will be communicated at least 30 days before taking effect. If the user does not accept a price change, the user has the right to terminate the subscription before the new pricing takes effect. Price changes do not affect orders already placed and paid for. 10. Orders and custom-made products All physical products ordered through Momentli are custom-made. The right of withdrawal ceases once production has begun in accordance with applicable consumer protection laws. Variations in color, cropping, materials, and execution may occur and do not constitute defects or grounds for compensation. 11. External production – Scandinavian Print Group Sweden AB Momentli cooperates with Scandinavian Print Group Sweden AB, reg. no. 556323-6776, for the production of physical image products. The user agrees that necessary print files, delivery information, and relevant personal data may be shared with Scandinavian Print Group Sweden AB to the extent required to enable production and delivery of ordered products. Scandinavian Print Group Sweden AB processes personal data as a data processor in accordance with applicable data protection laws and executed data processing agreements. Momentli is not responsible for delays, production deviations, or delivery issues arising from the external production partner. 12. Operation, bugs, updates, and changes Momentli strives for high availability but does not guarantee uninterrupted or error-free operation. The Service may be affected by bugs, outages, maintenance, updates, new versions, or security measures. Momentli reserves the right to modify, update, replace, or discontinue features without compensation and is not liable for loss of data, functionality, or content resulting from such actions. 13. Prohibited use Momentli reserves the right to remove content, suspend accounts, and take legal action without prior notice in the event of suspected illegal activity, misuse, or breach of these Terms. 14. Intellectual property rights All technology, code, design, product design, business logic, and know-how belong to Momentli or its licensors. No rights are transferred to the user under these Terms. 15. Personal data and data protection The user is responsible for the legality of personal data uploaded to the Service. Momentli processes personal data in accordance with applicable data protection laws and Momentli’s Privacy Policy. 16. Deletion, backups, and data loss The user is responsible for exporting and backing up content. Momentli does not guarantee restoration of data after deletion, system failure, or account termination. 17. Limitation of liability Momentli’s total liability is limited to the amount paid by the user during the preceding 12 months. Momentli shall not be liable for indirect damages, non-material damages, or loss of use. 18. Force majeure Momentli is not liable for events beyond its reasonable control, including but not limited to technical failures of third-party service providers. 19. Assignment Momentli has the right to assign its rights and obligations under these Terms, in whole or in part, without the user’s consent. 20. Governing law and disputes Swedish law shall apply. Any dispute shall be settled by Swedish courts, unless mandatory consumer protection law provides otherwise. 21. Contact Momentli AB support@momentli.com
